3.2 Payment Schedule: Setup fees are due upon agreement signing. Monthly fees are billed in advance on the 1st of each month.

3.4 Late Payments: Failure to pay on time may result in service suspension or termination.

4. Intellectual Property

All content, designs, software, and materials provided by SoftClose Solutions remain our intellectual property unless explicitly transferred. You may not:

5.1 Timeline: We aim to complete brokerage setup within 7-10 business days. Actual delivery times may vary based on complexity and client cooperation.

5.2 Client Responsibilities: Timely delivery requires your cooperation in providing necessary information, approvals, and access to required systems.

5.3 Quality Assurance: We conduct thorough testing before deployment. You will have an opportunity to review and approve all deliverables.

6. Warranties and Disclaimers

6.1 Service Warranty: We warrant that our services will be performed professionally and in accordance with industry standards.

6.2 Disclaimer: Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee specific business outcomes or profits.

6.3 Third-Party Services: We are not responsible for the performance or availability of third-party platforms, services, or integrations.

7. Limitation of Liability

To the maximum extent permitted by law, SoftClose Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the services in the 12 months preceding the claim.

8. Termination

8.1 By Client: You may terminate our services at any time with 30 days' written notice. Monthly fees are non-refundable.

8.2 By SoftClose: We may terminate services immediately if you breach these Terms or engage in prohibited activities.

8.3 Effect of Termination: Upon termination, you must pay all outstanding fees. We will provide reasonable assistance for service migration.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.
